Boss Works LLC (“BW,” “we,” “our,” or “us”) thanks you for your interest in BossWorks. These Terms of Use (“Terms”) constitute a legally binding agreement between you and BW and govern your access to and use of bossworks.ai and the BossWorks app (together, “the Application”) and the Services.

1. Privacy Policy and Additional Terms

Our About Privacy Policy is incorporated into these Terms. Your use of the Services is subject to all additional terms, policies, and guidelines referenced in these Terms or posted on the Services.

2. Accounts

Account Creation

To use certain features you must create an account and provide accurate information. Certain features may require a paid subscription. You must be at least 18 years old to create an account.

Account Deletion

You may delete your account at any time by contacting us at support@bossworks.ai.

Account Responsibilities

You are responsible for maintaining the confidentiality of your login information and for all activities under your account. Notify BW immediately of any unauthorized use of your account.

3. Access to the Site and Services

License

Subject to these Terms, BW grants you a non-transferable, non-exclusive, revocable, limited license to access and use the Services solely for your own internal business purposes.

Restrictions

You may not license, sell, or commercially exploit the Services; modify or reverse engineer any part of the Services; access the Services to build a competitive product; post fraudulent, abusive, or illegal content; use the Services in violation of any law; or infringe any third-party rights.

Modification

BW reserves the right to modify, suspend, or discontinue the Services at any time without notice. BW will not be liable for any such modification, suspension, or discontinuation.

Ownership

All intellectual property rights in the Services are owned by BW or its suppliers. These Terms do not transfer any intellectual property rights to you beyond the limited license expressly stated here.

4. Your Content

You own all data and information you provide to BW (“Your Content”). You represent and warrant that Your Content does not violate any third-party rights. You grant BW a non-exclusive, worldwide, royalty-free license to use Your Content to provide and improve the Services, and a perpetual license to use aggregated and anonymized versions for any purpose, provided your identity is not disclosed.

5. Payment

When you purchase the Services, you agree to the applicable pricing and payment terms. All fees are in US Dollars. Recurring fees will automatically renew and be charged to your credit card until cancelled. All payments are non-refundable, and there are no credits for partially used subscription periods.

6. Third-Party Links and Other Users

The Services may contain links to third-party websites. BW is not responsible for any third-party links or content. Your interactions with other users are solely between you and those users — BW is not responsible for losses arising from such interactions.

THE SERVICES ARE PROVIDED “AS-IS” AND “AS AVAILABLE.” BW EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

BW is not a law firm or qualified financial or tax advisor. Nothing on the Application constitutes legal, tax, or financial advice. Consult qualified professionals for such advice.

Limitation on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BW'S LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM THESE TERMS WILL BE LIMITED TO A MAXIMUM OF US $50. BW WILL NOT BE LIABLE FOR ANY LOST PROFITS, LOST DATA, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES.

8. Term and Termination

These Terms remain in effect while you use the Services. BW may suspend or terminate your rights at any time for any reason, including for violations of these Terms. Upon termination, your account and right to access the Services will terminate immediately.

9. Indemnification and Release

You agree to indemnify and hold BW and its officers, employees, and agents harmless from any claim or demand arising from your use of the Services, violation of these Terms, violation of applicable law, or violation of any third-party right. You also release BW from all past, present, and future disputes and claims arising from your use of the Services.

10. Changes

These Terms are subject to periodic revision. If we make substantial changes, we may notify you by email or prominent notice on the Services. Continued use after changes become effective constitutes your acceptance.

11. Arbitration Agreement and Dispute Resolution

All claims and disputes in connection with these Terms that cannot be resolved informally or in small claims court shall be resolved by binding arbitration on an individual basis through the American Arbitration Association (AAA). You waive your right to a jury trial and to participate in class action litigation.

Before arbitration, either party must send a written Notice of Dispute to the other party. Disputes must be initiated within the applicable statute of limitations. Any judgment rendered by an arbitrator may be entered in any court of competent jurisdiction. For matters that proceed in court, the parties submit to jurisdiction in Philadelphia City, Pennsylvania.

12. General

The Services may be subject to US export control laws. BW is located at Four Tower Bridge, 200 Barr Harbor Drive, Suite 400, West Conshohocken, PA 19428. Pennsylvania residents may report consumer complaints to the PA Office of Attorney General at pa.gov/consumer or 1-866-722-6675. Your communications with BW via the Services or email constitute electronic communications satisfying any written communication requirement.

13. Payment Services

Payment services in the USA are powered by BW's payment partners. BW is not licensed to provide payment services in the USA.

14. Terms Governing the Usage and Interactions with AI

The Application and Services are AI-driven. The AI assistant (“BB AI”) provides guidance for business formation, compliance, and operations. All AI features are governed by the following terms:

• The AI is not human and is not certified to provide legal, tax, financial, or investment advice. All decisions based on its outputs are solely your responsibility.
• The AI may generate incomplete, incorrect, or outdated information. Reliance on AI responses is at your own risk.
• You must be at least 18 years old to use the AI features.
• You may not use the AI for unlawful or deceptive purposes, to share unauthorized confidential data, to develop competing AI models, or to reverse-engineer the underlying systems.
• BW collects usage data (queries, interactions, metadata) to improve the AI. Do not submit sensitive personal information unless necessary.
• All intellectual property in the AI is owned by BW and its licensors. By using the AI, you grant BW a non-exclusive, royalty-free license to process your content to operate and maintain the AI. This license ends when you delete your account.
• BW and its affiliates will not be liable for any indirect, incidental, or consequential damages arising from use of the AI.
